Terms of Service
1. About CloseDay
CloseDay is a sales automation platform for home service operators, operated by Blue Oak Holdings Inc., an Iowa corporation. CloseDay is accessible at closeday.io and app.closeday.io.
2. Acceptance of Terms
By accessing or using CloseDay, submitting a demo request, or entering into an Operator Agreement, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.
3. Platform Access
CloseDay grants operators a limited, non-transferable license to use the platform within their designated market territory. Access is subject to the terms of your Operator Agreement, payment of applicable fees, and compliance with these Terms.
4. SMS Messaging
By submitting a demo request or onboarding as an operator, you consent to receive SMS messages from CloseDay regarding demo scheduling, market availability, onboarding, and platform updates. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time. Reply HELP for assistance.
CloseDay will not sell, rent, or share your phone number with third parties for marketing purposes.
5. One Operator Per Market
CloseDay grants market exclusivity on a first-come, first-served basis. Market lock is triggered upon receipt of onboarding payment and completion of A2P provisioning. CloseDay reserves the right to define market boundaries.
6. Fees and Payment
Operator fees are outlined in the Founding Operator Agreement or applicable order form. All fees are non-refundable unless otherwise stated in writing. Monthly platform fees are billed via ACH. The monthly fee clock starts when A2P registration is confirmed and the system is live.
7. Prohibited Use
You may not use CloseDay to:
- Send unsolicited SMS messages or spam
- Violate any applicable law or regulation
- Resell or sublicense platform access without written approval
- Reverse engineer or attempt to extract the platform's underlying systems
8. Intellectual Property
All platform technology, branding, workflows, and content are the property of Blue Oak Holdings Inc. Operators receive a limited license to use CloseDay tools within their designated territory. No ownership rights are transferred.
9. Age Restriction
CloseDay is intended for use by individuals 18 years of age or older. By using the platform or submitting a demo request, you confirm that you are at least 18 years old. CloseDay does not knowingly collect information from individuals under 18.
10. Carrier Liability Disclaimer
CloseDay's SMS messaging service is provided using third-party carrier networks. Wireless carriers are not liable for delayed or undelivered messages. Message delivery is not guaranteed and may vary based on carrier, device, and network conditions. Standard message and data rates may apply depending on your carrier plan.
11. Limitation of Liability
CloseDay is provided "as is." Blue Oak Holdings Inc. is not liable for lost revenue, missed leads, or business losses resulting from platform downtime, SMS delivery failures, or operator error. Total liability shall not exceed fees paid in the prior 30 days.
12. Termination
CloseDay may terminate or suspend access for violation of these Terms, non-payment, or conduct detrimental to the platform or other operators. Operators may terminate per the terms of their Operator Agreement.
13. Governing Law
These Terms are governed by the laws of the State of Iowa. Any disputes shall be resolved in Polk County, Iowa.
14. Changes to Terms
CloseDay reserves the right to update these Terms at any time. Continued use of the platform following notice of changes constitutes acceptance.
