Terms of Service

1. About CloseDay

CloseDay is a sales automation platform for home service operators, operated by Blue Oak Holdings Inc., an Iowa corporation. CloseDay is accessible at closeday.io and app.closeday.io.

2. Acceptance of Terms

By accessing or using CloseDay, submitting a demo request, or entering into an Operator Agreement, you agree to these Terms. If you do not agree, do not use the platform.

3. Platform Access

CloseDay grants operators a limited, non-transferable license within their designated market territory, subject to the Operator Agreement, fees, and these Terms.

4. SMS Messaging

By submitting a demo request or onboarding, you consent to SMS regarding demo scheduling, market availability, onboarding, and platform updates. Frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for assistance.

CloseDay will not sell, rent, or share your phone number with third parties for marketing purposes.

5. One Operator Per Market

Market exclusivity is first-come, first-served. Market lock is triggered upon onboarding payment and A2P provisioning. CloseDay reserves the right to define market boundaries.

6. Fees and Payment

Fees are in the applicable agreement or order form. Fees are non-refundable unless stated otherwise. Monthly fees are billed via ACH and begin when A2P registration is confirmed and the system is live.

7. Prohibited Use

• Send unsolicited SMS or spam
• Violate law or regulation
• Resell or sublicense access without written approval
• Reverse engineer or attempt to extract underlying systems

8. Intellectual Property

Platform technology, branding, workflows, and content belong to Blue Oak Holdings Inc. Operators receive a limited license; no ownership transfers.

9. Age Restriction

CloseDay is for people 18 or older and does not knowingly collect information from minors.

10. Carrier Liability Disclaimer

Carrier networks are not liable for delayed or undelivered messages. Delivery is not guaranteed. Standard rates may apply.

11. Limitation of Liability

CloseDay is provided "as is." Blue Oak Holdings Inc. is not liable for lost revenue, missed leads, or losses caused by downtime, SMS failure, or operator error. Total liability will not exceed fees paid in the prior 30 days.

12. Termination

CloseDay may suspend or terminate access for violation, non-payment, or detrimental conduct. Operators may terminate under their agreement.

13. Governing Law

Iowa law governs. Disputes will be resolved in Polk County, Iowa.

14. Changes to Terms

CloseDay may update these Terms. Continued use following notice constitutes acceptance.
